Jakarta - PT Indotambang Perkasa, pemegang 55,57% saham PT Benakat Petroleum Energy Tbk (BIPI) memberikan pinjaman sebesar Rp 894,816 miliar kepada anak usahanya itu untuk mengakuisisi 37,15% saham PT Elnusa Tbk (ELSA). BIPI menjaminkan 37,15% saham ELSA kepada Indotambang Perkasa.
Demikian disampaikan dalam pengumuman BIPI yang dipublikasikan, Rabu (17\/3\/2010).
Dalam penjelasannya, perseroan mengatakan mekanisme pinjaman diperoleh melalui penerbitan surat sanggup (promisory note) oleh BIPI kepada Indotambang Perkasa. BIPI juga menjaminkan seluruh jumlah saham ELSA yang diakuisisi sebanyak 2.711.565.890 saham kepada Indotambang Perkasa.
Indotambang kemudian mengucurkan pinjaman sebesar Rp 894,816 miliar kepada anak usahanya itu. Seluruh dana tersebut digunakan untuk mengakuisisi 37,15% saham ELSA yang sebelumnya dimiliki oleh PT Tridaya Esta (TDE).
Transaksi pemindahtanganan 37,15% saham ELSA ini telah dilakukan pada 12 Maret 2010 melalui mekanisme transaksi tutup sendiri (crossing) yang difasilitasi oleh broker PT Sinarmas Sekuritas (DH). Harga transaksi dilakukan pada level Rp 330 per saham dengan total nilai Rp 894,816 miliar.
Dengan adanya transaksi ini, maka pemegang saham ELSA saat ini adalah
PT Pertamina sebanyak 3.000.000.00 (41,10%).<\/li>

VIVAnews - Harga saham PT Elnusa Tbk (ELSA) cenderung melemah, meski PT Benakat Petroleum Energy Tbk (BIPI) telah menyelesaikan tahapan pembelian 37,15 persen saham Elnusa milik PT Tri Daya Esta.
Pada transaksi Senin 15 Maret 2010 pukul 10.48 WIB, harga saham Elnusa melemah Rp 5 (1,44 persen) ke posisi Rp 340. Volume transaksi mencapai 18,98 ribu lot senilai Rp 3,26 miliar dengan frekuensi 137 kali.
Saham Elnusa sempat menyentuh level tertinggi Rp 345 dan terendah Rp 340.
Sementara itu, harga saham Benakat stagnan di posisi Rp 260. Volume transaksi tercatat 139,15 ribu lot senilai Rp 18,08 miliar dengan frekuensi 773 kali. Saham Benakat sempat menyentuh level tertinggi Rp 265 dan terendah Rp 255.
Pejabat Sementara Direktur Utama Elnusa Lucy Sycilia dalam penjelasan tertulis yang dipublikasikan PT Bursa Efek Indonesia (BEI) di Jakarta, Senin 15 Maret 2010 mengatakan, Tri Daya sebagai pemegang 2,71 miliar saham perseroan telah menyelesaikan transaksi penjualan saham kepada Benakat.
Penutupan transaksi dilakukan pada Jumat 12 Maret 2010. Pada tahap pertama, saham yang beralih mencapai 1,79 miliar melalui pasar negosiasi BEI. Sedangkan rencana pelaksanaan pengalihan saham tahap berikutnya pada 12 April 2010.
Sebelumnya, Benakat Petroleum Energy menargetkan pengambilalihan 37,15 persen saham Elnusa milik Tri Daya Esta rampung pada akhir Maret 2010.
Benakat mengincar kontribusi sekitar 30 persen dari Elnusa terhadap pendapatan Benakat pada akhir 2010, atau sekitar Rp 510 miliar.

Banpu Public Company Limited is a mining and power company in Thailand. It has coal mining operations in Thailand, Indonesia, and China, and coal-fired power generation operations in Thailand and China. Banpu plans also to invest in the Hong Sa lignite mine and power plant project in Laos.[3]
In Thailand, Banpu operates coal mines in Lampang and Phayao Provinces, and has stakes in the BLCP, a 1,434 MW coal-fired power plant at Map Ta Phut, and in RATCH, a 3,645 MW power plant in Ratchaburi Province. It also has five coal mines in Indonesia and two in China.[4] Banpu agreed to buy Centennial Coal Co Ltd for US$2 billion on 5 July 2010.[5]
In 2010 Banpu bought the Australian mining company Centennial Coal which operates five mines in New South Wales (NSW) supplying coal for export and approximately 40 percent of NSW's coal-fired electricity.[6] Centennial Coal has been responsible for more than 900 pollution notices between 2000 and 2013 from the NSW Environment Protection Authority (EPA). In 2015 it was responsible for a major release of coal fines into the Wollangambe River and World Heritage listed areas of the Blue Mountains National Park.[7] Centennial Coal has been dumping mine effluent into the Wollangambe River for approximately 30 years, effectively killing large sections of it.[8] Between 2000-2015, Centennial's Clarence Colliery has been cited for more than 65 non-compliance breaches of its licence.[9] As of 2015, Centennial Coal has applied to extend the Springvale Mine, undermining swamps of "National Environmental Significance"[10] and dumping up to 50 million litres a day of mine effluent into the Coxs River which also flows through the Blue Mountains World Heritage area and into Sydney's drinking water catchments.[11]
Hong Sa Lignite
The Hong Sa Lignite project was founded by and belonged to Thai-Lao Lignite Co., Ltd. (TLL) and Hong Sa Lignite (Lao PDR) Co., Ltd. (HLL) pursuant to a concession from 1992-1994. In 2005, Banpu entered into a joint venture with TLL and HLL to develop the project, but this agreement was terminated in 2006. A UNCITRAL arbitration found that the Lao government illegally terminated TLL's and HLL's concession (awarding it to Banpu) and ordered Laos to pay US$57 million in damages plus interest. Laos is refusing to pay the award despite its clear agreement with TLL and HLL, its government policy for international arbitration, and despite participating fully.
